Please read these terms carefully before using this website or engaging Teguh Advisory Sdn. Bhd. ("Teguh", "we", "us", or "our") for advisory services. By accessing teguhxnv.sbs or submitting an enquiry, you agree to be bound by these terms.

01 Definitions
In these Terms & Conditions, the following terms carry the meanings set out below:
- "Agreement" means these Terms & Conditions, together with any engagement letter or statement of work agreed in writing between you and Teguh.
- "Service" means any advisory, review, pilot, or stewardship engagement described on this website and set out in an engagement letter.
- "User" or "you" means any individual or organisation that accesses this website or engages Teguh for a Service.
- "We", "Us", "Our" refers to Teguh Advisory Sdn. Bhd., a company incorporated in Malaysia.
- "Content" means all text, documents, briefing notes, methodology descriptions, and materials produced by Teguh in connection with a Service.
- "Client Data" means policy documents, case files, and other materials you provide to Teguh for the purposes of a Service.
- "Engagement Letter" means the written scope of work document signed by both parties prior to commencement of a Service.
02 Acceptance of Terms
By accessing this website or submitting an enquiry form, you confirm that:
- You are at least 18 years of age
- You have the authority to enter into a binding agreement on behalf of your organisation (if applicable)
- You have read, understood, and agree to be bound by these terms
Engagement of our Services is formalised through a signed Engagement Letter. These Terms & Conditions apply to website use in all cases, and to Service delivery unless superseded by the Engagement Letter on a specific point.
03 Service Description
Teguh provides AI-assisted compliance advisory services to banking institutions in Malaysia. Our current service portfolio includes:
- Compliance Workflow Review — a focused reading and briefing engagement (RM 1,330)
- Policy & Case Reading Pilot — a supervised six-week AI-assisted reading pilot (RM 5,210)
- Quarterly Compliance Stewardship — ongoing quarterly advisory and audit engagement (RM 4,840 per quarter)
All Services are delivered primarily to clients located in Malaysia. Delivery to institutions outside Malaysia may be considered on a case-by-case basis, subject to applicable cross-border data and regulatory requirements.
Service availability is subject to capacity. We reserve the right to decline any engagement at our discretion prior to the execution of an Engagement Letter.
04 User Responsibilities
Website use
- You agree not to use this website for any unlawful purpose or in any way that could damage, disable, or impair it
- You agree not to attempt to gain unauthorised access to any part of the website or its underlying systems
- You agree not to submit false, misleading, or fraudulent information via any contact form
During a Service engagement
- You are responsible for ensuring that any Client Data provided to Teguh has been appropriately authorised for external review under your institution's data governance framework
- You agree to provide accurate and complete information necessary for the delivery of the Service
- You acknowledge that AI-assisted outputs are drafts for human review; your compliance team retains responsibility for all regulatory decisions and submissions
- You agree to maintain confidentiality over Teguh's methodology documents and deliverables
05 Intellectual Property
All methodologies, frameworks, website content, and documentation produced by Teguh remain the intellectual property of Teguh Advisory Sdn. Bhd. unless otherwise agreed in writing.
Upon full payment of fees, Teguh grants you a limited, non-exclusive, non-transferable licence to use deliverables produced specifically for your engagement for your internal compliance purposes only.
You may not reproduce, distribute, or share Teguh deliverables outside your organisation without prior written consent. You retain ownership of all Client Data you provide to us. We use Client Data solely for the purpose of delivering the agreed Service and will not retain or use it beyond the engagement unless required by law.
06 Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). Payment terms are set out in the Engagement Letter, which typically provides for:
- 50% of fees due upon signing of the Engagement Letter
- Remaining 50% due upon delivery of the final deliverable, or at the close of the engagement period
- Quarterly Stewardship fees invoiced at the start of each quarter
Late payment may result in suspension of Service delivery. Invoices outstanding beyond 30 days from the due date may attract a late payment charge of 1.5% per month on the outstanding balance, unless otherwise agreed.
Fees are non-refundable once the Service has commenced, except where Teguh has failed to deliver in accordance with the agreed scope of work. Any refund claims must be raised in writing within 14 days of the relevant deliverable date.
07 Service-Specific Terms
Compliance Workflow Review
- Scope is limited to the materials and interviews described in the Engagement Letter
- Deliverable is a written brief; it does not constitute a regulatory opinion or legal advice
- Scope changes require a written variation agreed by both parties
Policy & Case Reading Pilot
- AI reading tools operate in a read-only, closed environment; no outputs are sent to external systems
- The six-week supervised period runs from the access commencement date in the Engagement Letter
- Your analysts are responsible for reviewing and confirming all AI-generated summaries before use
- Training for two analysts is included; additional analyst training is subject to separate fees
Quarterly Compliance Stewardship
- Each quarter runs for approximately 13 weeks from the quarter start date
- The quarterly brief is delivered within 10 business days of the quarter close
- The annual board review summary is delivered in the final quarter of each engagement year
- Either party may terminate with 30 days' written notice at the end of any quarter
08 Disclaimers
Our Services are provided on an "as available" basis. While we take care in the quality of our work, we make no representation that:
- AI-assisted reading outputs are free from errors or omissions
- Our briefings constitute legal, regulatory, or professional advice for the purposes of any specific submission to Bank Negara Malaysia or any other authority
- Following our recommendations will result in regulatory approval or the absence of enforcement action
You are advised to seek independent legal or regulatory counsel for formal compliance opinions. Teguh's role is to assist your reading and analytical workflows; we are not a substitute for your institution's own compliance function.
09 Limitation of Liability
To the maximum extent permitted under Malaysian law, Teguh's aggregate liability to you for any claim arising from a Service shall not exceed the total fees paid by you for that specific Service in the six months preceding the claim.
We shall not be liable for any indirect, consequential, incidental, or special damages, including loss of profit, loss of data, or reputational harm, even if we have been advised of the possibility of such damages.
Nothing in these terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded by law.
Force majeure
We shall not be liable for delays or failures in Service delivery caused by circumstances beyond our reasonable control, including acts of government, natural disasters, utility outages, or other events that could not reasonably have been foreseen or prevented.
10 Indemnification
You agree to indemnify and hold harmless Teguh, its directors, and staff from and against any claims, losses, or expenses (including reasonable legal costs) arising from:
- Your breach of these Terms & Conditions or any Engagement Letter
- Your misuse of deliverables beyond the scope of the licence granted
- Client Data you provide that infringes the rights of a third party or was not authorised for external review
11 Termination
Either party may terminate an engagement by written notice in the following circumstances:
- Material breach of the Engagement Letter that remains uncured for 14 days after written notice
- Mutual written agreement
- For the Quarterly Stewardship service, at the end of any quarter with 30 days' written notice
Upon termination, you remain liable for fees for work completed up to the termination date. Teguh will return or securely delete Client Data within 30 days of termination. Clauses relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
12 Dispute Resolution
These Terms & Conditions are governed by the laws of Malaysia. Any dispute shall first be referred to senior representatives of both parties for good-faith negotiation. If not resolved within 30 days, either party may refer the matter to mediation under the Asian International Arbitration Centre (AIAC) Mediation Rules before commencing litigation.
Both parties submit to the exclusive jurisdiction of the courts of Malaysia for any dispute not resolved by the above process.
13 General Provisions
- Entire agreement: These terms, together with any signed Engagement Letter, constitute the entire agreement between the parties on the subject matter and supersede all prior discussions or representations.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any term does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights to a successor entity without your consent, provided the successor is bound by these terms.
- Notices: Legal notices under these terms should be sent in writing to the address below or to [email protected].
14 Changes to Terms
We may update these terms from time to time to reflect changes in our Services, applicable law, or regulatory requirements. The updated version will be posted on this page with a revised "Last Updated" date. For material changes, we will make reasonable efforts to notify active clients by email. Continued use of this website after the revised terms are posted constitutes acceptance of the updated terms.
